Rod Software LLC Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Rod Software LLC ("Company", "we", "us", "our") for your use of our apps and related services (collectively, the "Services"), including Spelling Buddy and World Capitals App.

1. Acceptance of Terms

By downloading, accessing, or using any of our Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility and Account

  • You are responsible for providing accurate account information where applicable.
  • You are responsible for activity under your account.
  • If you are under the age of majority in your jurisdiction, use must be with parent or guardian consent and supervision.
  • Account access may use Sign in with Apple and service-required identifiers for authentication, entitlement, security, and support operations.

3. App Licenses and Apple Terms

Our apps are licensed, not sold, to you for personal, non-commercial use under these Terms and applicable Apple platform terms.

4. Subscriptions, Billing, Restore, and Refunds

  • Some features may require an auto-renewable subscription purchased through Apple.
  • Subscription title, duration, and pricing are shown in-app before purchase.
  • Payment is charged to your Apple ID account through Apple billing.
  • Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period.
  • You can manage or cancel subscriptions in Apple account settings.
  • Restore Purchases is available in-app.
  • Refunds and billing disputes are handled by Apple under Apple's policies.

5. Acceptable Use

You agree not to:

  • Abuse or attempt to bypass account, entitlement, quota, or anti-abuse controls.
  • Interfere with app operation, security, or service availability.
  • Use the app for unlawful purposes.
  • Attempt to impersonate another account or tamper with Sign in with Apple, token verification, purchase, or restore flows.

We may suspend or terminate access for abuse, fraud, or material violations of these Terms.

6. User Content

You may input words and other related content for app functionality and study use. You retain ownership of your content, and you grant us a limited license to process it solely to provide the Services.

7. Intellectual Property

The Services, design, branding, and software are owned by Rod Software LLC or its licensors and are protected by applicable intellectual property laws.

8. Account Deletion and Termination

  • You may request deletion through in-app account deletion controls where available.
  • Deletion effects are described in the Privacy Policy.
  • For accounts deleted with active or recent subscription history, minimal entitlement-integrity and anti-abuse records may be retained for a limited period as described in the Privacy Policy.
  • We may terminate or restrict access for Terms violations, abuse, or legal compliance.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Rod Software LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business opportunity arising from use of the Services.

11. Dispute Resolution and Arbitration Agreement

Please read this section carefully. It affects your legal rights.

  • Informal resolution first: before filing a claim, you and Rod Software LLC agree to try to resolve disputes informally by email at legal@rodsoftware.com.
  • Binding arbitration: except for the carve-outs below, any dispute, claim, or controversy arising out of or related to these Terms or the Services will be resolved by binding individual arbitration, not in court.
  • Rules and governing arbitration law: arbitration will be administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules in effect when filed, as modified by these Terms. The Federal Arbitration Act (FAA) governs interpretation and enforcement of this arbitration agreement.
  • Remote-first process: arbitration will be conducted on a documents-only, phone, or video basis when allowed by AAA rules. If an in-person hearing is required, it will take place in Utah unless the parties agree otherwise.
  • Carve-outs: either party may bring individual claims in small claims court if eligible. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property misuse or unauthorized access/abuse of services.
  • Class action waiver: to the fullest extent permitted by law, all claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
  • Jury trial waiver: to the fullest extent permitted by law, you and Rod Software LLC waive any right to a jury trial for claims permitted to proceed in court.
  • Mass arbitration protocol: if 25 or more similar demands are filed by or with the assistance of the same or coordinated counsel, the parties agree those claims may be administered in staged batches, including bellwether proceedings, to improve efficiency. Remaining claims may be paused while bellwether matters proceed, and any statute-of-limitations defenses are tolled during that pause to the extent allowed by law.
  • 30-day opt-out right: you may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@rodsoftware.com with the subject line "Arbitration Opt-Out" and including your name and the account identifier used with the app. Opting out of arbitration does not affect any other part of these Terms.
  • Severability: if any part of this arbitration section is found unenforceable, the remainder will remain in effect to the fullest extent permitted by law. If the class action waiver is found unenforceable for a specific claim, then that claim will proceed in court, not arbitration.

12. Governing Law and Court Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles.

For disputes that are not subject to arbitration (or where court proceedings are permitted under this section), you and Rod Software LLC consent to exclusive jurisdiction and venue in the state or federal courts located in Utah.

13. Changes to Terms

We may update these Terms. Continued use after updates take effect means you accept the revised Terms.

14. Privacy

Your use of the Services is also governed by the applicable Privacy Policy for each app.

For clarity, account identifiers and tokens (including Apple user identifier, identity token, and app account token), where applicable, are used to operate internal account authentication, subscription entitlement mapping, anti-fraud controls, and support workflows as described in the applicable Privacy Policy.
